Director duties and ESG – a view from the General Counsel
ESG is getting up close and personal for board members – most recently for the 13 board members of Shell, who are pursued for “breach of duties” in properly preparing for the energy transition by environmental law charity ClientEarth.

Pressure is also building from regulators throughout the world. New Zealand has already mandated climate-risk reporting; the UK, Singapore and India are not far behind. In the US, the SEC is set to introduce compulsory disclosures for corporations with public carbon-reduction targets while the EU is preparing a whole orchard of regulatory and reporting proposals.

These and other pressures do not come without controversy and confusion however, nor do they come with clear guidance.

How can boards navigate this rapidly evolving regulatory landscape? When will directors find themselves personally liable? And, perhaps most importantly, how can boards keep a strategic, forward looking mindset to treat ESG as an opportunity to drive positive impact rather than cramping up in risk avoidance and control.

These and related questions will be centre stage in a webinar hosted by the INSEAD Corporate Governance Centre and impactvise AG on Tuesday, May 31st , 2-3pm CET.

Jaap Winter, Visiting Professor of Corporate Governance at INSEAD will give a keynote address followed by a panel including:

• Lite Nartey, Visiting Professor of Strategy at INSEAD,
• Yannick Hausmann, Co-founder of Impactvise and former Group General Counsel at Zurich Insurance Company Ltd.,
• Jaap Winter, Multi-director, Partner Phyleon Leadership & Governance, Visiting Professor of Corporate Governance at INSEAD and Professor of Corporate Law, Corporate Governance and Behaviour at Vrije Universiteit Amsterdam.

The session will be moderated by Ron Soonieus, Director in Residence at the INSEAD Corporate Governance Centre and Senior Advisor at Boston Consulting Group (BCG).

Before that, he was partner of law firm De Brauw Blackstone Westbroek. Jaap is a leading corporate governance scholar and practitioner in Europe. He is Chairman of the Supervisory Board of Royal Schiphol Group, chairman of the Board of the Van Gogh Museum, chairman of the Board of the Erasmus Universiteit Rotterdam, and chairman of the Board of Stichting ADORE. Lite Nartey
Visiting Professor of Strategy @INSEAD
Lite Nartey is a Visiting Professor of Strategy at INSEAD (Fontainebleau campus), in France. Leveraging her professional background in international development, her academic research seeks to demonstrate the business case for stakeholder engagement and the business case for international development. Her research focus on stakeholder engagement and management, examines the contingencies and dynamics at the nexus of the relationships among multinational firms, governments, and civil society actors, as well as the implications of these dynamics on both firm performance and societal value.
Yannick Hausmann
Co-Founder and Chairman @impactvise
Yannick is Co-Founder and Chairman of impactvise, an ESG data analytics company geared towards legal service providers and he also serves as Senior Advisor to the Zurich Insurance Group CEO, following nearly 12 years as Zurich’s Group General Counsel, leveraging broad local and international experience on legal, compliance, regulatory and governance issues. He is chair or member of key Zurich subsidiary boards, including both in Europe and the US. Furthermore, Yannick has a high interest and is engaged in some Distributed Ledger Technology/Blockchain projects.
Ron Soonieus
Director in Residence @INSEAD Corporate Governance Centre
Ron advises senior management and boards to set their sustainability and Environmental, Social and Governance (ESG) agenda and to integrate sustainability into the heart of corporate strategy, governance and culture. He works as a Senior Advisor at Boston Consulting Group (BCG), as Director in Residence at INSEAD and as founder and board member of Radix CBPS, a thinktank Centred around Business, Politics and Society. He is also a member of the board and chair of the audit committee at of the Royal Academy of Art and the Royal Conservatoire in The Netherlands.
